How do I buy and sell shares on NEPSE?

What it is
Shares that are already listed are bought and sold on the Nepal Stock Exchange (NEPSE) through a licensed broker. Each broker gives you a login to its TMS, the online system where you place orders.
You need a demat account and Meroshare first. Shares you buy arrive in your demat account after settlement, and when you sell you approve the transfer out in Meroshare.
The government cut capital gains tax for individuals in September 2026, to 5 percent of the profit on shares held 365 days or less and 3.75 percent on shares held longer.

How it works

Open an account with a licensed broker
Fill in the broker's KYC form, online or at the office. Once it's verified, the broker sends your TMS (trade management system) username and login link by email.

Map your demat to the broker
Give your BOID to the broker so it's linked to your client code. You need this before you can approve sales in Meroshare.

Load collateral
Brokers ask for collateral before you can buy, often 25 percent of the order value, which you load from the TMS dashboard through connectIPS or a wallet. Some ask for the full amount.

Place your order
In TMS, go to order management, choose Buy, the stock symbol, price and quantity. Pay the rest of the bill to the broker by its deadline.

When you sell, approve the transfer (EDIS)
Settlement takes two working days after the trade. Approve the transfer in Meroshare under EDIS by the next working day, or the sale can fail and you'll be fined by the broker.

Common problems
Do I have to file capital gains tax myself?
No. It's deducted when your sale settles and the rate is a final tax, so it isn't added to your income tax return.
How is my profit calculated?
On your weighted average cost (WACC) for that share. Broker commission, SEBON fee and DP charges are deducted first. Check that Meroshare shows the right purchase price, especially for shares bought outside the market, or you'll be taxed on too much.
Different reports said 3.5 percent for long-term holdings.
The cabinet decision was reported as 3.5 percent, but the notice published in the Nepal Gazette on 22 September 2026 set it at 3.75 percent. Your broker's contract note shows the rate applied.
I sold but forgot EDIS.
Contact your broker the same day. Missed transfers can lead to a close-out and a penalty.
